GameStop has agreed to swap $1.4 billion of zero-coupon convertible notes for stock, a deal that would retire about one-third of its note principal if it closes. The resulting shareholder dilution will remain unknown until the company discloses the final share count.

The company's Aug. 3, 2026 filing covers about $400 million of notes due in 2030 and $1 billion due in 2032. If the transaction closes, GameStop would have about $1.1 billion of the 2030 notes and $1.7 billion of the 2032 notes remaining.

Both series carry a 0% interest rate, which means that the exchange would not reduce GameStop's current cash interest expense. Instead, it would replace $1.4 billion of future repayment obligations with newly issued shares.

A 35-consecutive-trading-day volume-weighted average price period began Aug. 3, 2026, and will help determine how many shares noteholders receive shortly before closing. A minimum per-share price also applies, but its value remains undisclosed.

The filing index contains no exchange agreements, and the company said it will disclose the final share count in a later 8-K.

GameStop expects the exchange to close around Sept. 23, 2026, subject to customary conditions. Either side can terminate the deal after Sept. 30, 2026 if it has not closed. The stock may get noisy before then.

It also warned that noteholders could trade shares or adjust related derivative positions before closing, potentially increasing volatility in its stock or notes.

The company entered the transaction with $7.4 billion in cash and cash equivalents and $4.2 billion in long-term debt as of May 2.

The disclosed calls covered about 4,709 Bitcoin at an $80,000 strike price and expired May 29, 2026. GameStop subsequently entered new contracts but has not disclosed their quantity, strike price, maturity, or collateral balance.

Under the agreement, Coinbase Credit could reuse, commingle, pledge, or sell the collateral. Because GameStop no longer directly controlled the pledged Bitcoin, it removed the assets from its books and recorded a current digital-asset receivable representing equivalent Bitcoin owed back to the company.

Using the May 2, 2026 reference quantity, 4,709 Bitcoin equaled about $300.65 million at CryptoSlate’s Aug. 3, 2026 Bitcoin price of $63,846.52. The value of the renewed collateral position cannot be valued until GameStop provides a new disclosure.

Investors are now waiting for two material figures: the number of shares GameStop will issue in the note exchange and the amount of Bitcoin currently pledged under its renewed options strategy.
